Terms of Service.

1. Overview

These Terms of Service govern the provision of monthly marketing admin support (“the Service”) provided by Portia Jackson T/A Presence Management Co. (“we”, “us”, “our”) to the client (“you”, “your”).

By subscribing to or engaging the Service, you agree to these Terms.


2. Scope of Service

The Service provides ongoing monthly marketing administration support, delivered through a structured production cycle.

Work is planned, prioritised, and delivered each month according to business needs, timing, and production focus, with emphasis placed on the most relevant and high-impact work at that time.

The scope of the Service may include, where applicable:

• Website content updates and routine checks

• Editorial or informational content for the website

• Content and updates across selected digital channels as agreed

• Client-facing communications such as email updates or PDF materials

• Google Business Profile maintenance

• Light content-related website fixes identified during routine checks

The Service does not operate on fixed deliverables or guaranteed quantities. Output is planned on a rolling basis in line with agreed priorities and production capacity.

The Service does not include marketing strategy, campaigns, or growth-focused marketing activities. Google Business Profile support is limited to accuracy, presentation, and routine updates. SEO services, ranking guarantees, and review acquisition are not included.


3. Reasonable Use

The Service is designed to support a reasonable and ongoing volume of marketing administration and communications work within a structured monthly production cycle.

Client requests that fall within the defined service scope are planned, prioritised, and delivered as part of the monthly production cycle. Where the volume or complexity of requested work exceeds what can reasonably be completed within a single cycle, the work will be scheduled and delivered across multiple monthly production cycles.

In some cases, work that falls clearly outside the scope of ongoing marketing administration (such as standalone campaigns, specialised technical development, or unrelated project work) may be offered as a separate project and quoted independently.

We retain discretion over scheduling and prioritisation in order to maintain service quality, delivery standards, and consistency across all active clients. We determine the appropriate production cycle for all work based on scope, complexity, and current capacity.

The Service is not intended to function as a dedicated, full-time resource.


4. What Is Not Included

Unless otherwise agreed in writing, the Service does not include:

• Marketing campaigns, launches, or promotions
• Funnels, lead generation, or conversion optimisation
• Paid advertising or boosted posts
• SEO strategy or technical SEO work
• Analytics, reporting, or performance tracking
• Community management, comments, or direct messages
• Ecommerce management or website configuration
• Brand strategy, visual identity development, or creative direction work
• Technical website development beyond content updates
• Real-time, urgent, or last-minute requests

Light design support directly related to content and website updates may be included at our discretion. We reserve the right to decline requests that fall outside the defined scope of the Service.


5. Production & Publishing Cycle

Website updates, routine maintenance, and light fixes are completed during monthly production and do not require review.

Client-facing work that we determine requires review is shared for approval and scheduled for publication at the beginning of the following month.

If no feedback is received within three business days, content is deemed approved and scheduled for publication as planned.

Example: February content production is published at the beginning of March.


6. Client Requests

Client requests may be provided at any time to inform future work. You may submit notes or materials such as company news, recent projects, updated information, or client-facing materials you would like reflected in upcoming work.

Where no requests are submitted, we plan, prioritise, and produce appropriate industry-aligned materials on your behalf as part of ongoing management.

Requests are considered alongside existing priorities and scheduled into a future monthly production cycle as appropriate. Requests received after a production cycle is already underway will be taken into account for a subsequent cycle.


7. Onboarding & Access

You agree to provide timely and appropriate access to all platforms, accounts, and materials reasonably required to deliver the Service. This may include website access, email platforms, digital channels, and shared brand assets or image libraries.

Delivery timelines are dependent on required access being provided. Any delays, limitations, or incomplete access may result in delays to production, publishing, or delivery within the applicable monthly production cycle.


8. Authorisation

By engaging the Service, you confirm that you are authorised to:

• Provide instructions and approvals
• Grant access to platforms and accounts
• Permit us to prepare and publish content on behalf of the business

You remain responsible for the accuracy of information supplied.


9. Billing & Payment

The Service is billed monthly in advance. Each payment covers the upcoming production cycle, during which work is completed and content is prepared for publication in the following month.

Clients may commence the Service at any time during the month. Work is scheduled according to the production calendar. Depending on onboarding timing, work will be allocated to either the current or the following production cycle.

Billing recurs automatically each month on the same date as the initial payment unless cancelled in accordance with these Terms.

No setup fees apply. Payments are non-refundable once a production cycle has commenced.

Failure to make payment may result in suspension or termination of the Service.

Pricing is stated in the currency shown on the relevant service page at the time of purchase. Clients will be billed in that currency unless otherwise agreed in writing.


10. Cancellation

You may cancel the Service at any time.

Cancellation applies to future production cycles only.

• Work already in production or scheduled will be completed as planned
• No partial refunds are provided for the current billing period


11. Service Continuity

We reserve the right to suspend or terminate the Service, with notice, if continued provision becomes impracticable or inconsistent with the intended scope or operation of the Service.

In the event of termination, work already in production will be completed. No further fees will be charged beyond the current production cycle, and no refunds will be provided for work already commenced.


12. Revisions

The Service includes reasonable, minor refinements during the review period.

It does not include:

• Ongoing revisions
• Iterative rewrites
• Direction changes after approval

Requests outside the review window may be deferred or declined.


13. Intellectual Property

Upon full payment, you retain ownership of all final approved content produced specifically for your business.

We retain the right to reuse general processes, frameworks, and non-confidential learnings.


14. Limitation of Liability

We are not responsible for:

• Business outcomes or performance results
• Platform outages or third-party issues
• Delays caused by missing input or access

Our liability is limited to the fees paid for the current billing period to the extent permitted by law.


15. Changes to the Service

We may update the Service, pricing, or these Terms from time to time.

We will provide reasonable notice of any pricing changes. Pricing updates apply to future billing cycles only and do not affect the current paid production cycle.


16. Governing Law

These Terms are governed by the laws of New Zealand.
